Terms of Service

1. Acceptance of Terms

By accessing or using AgentClaw ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

You must be at least 18 years old to use this Service.

2. Description of Service

AgentClaw provides managed infrastructure for OpenClaw AI agents, including:

  • Automated Docker container provisioning and management
  • Virtual private server (VPS) hosting
  • Environment variable encryption and storage
  • Instance lifecycle management (start, stop, restart, delete)
  • Real-time logs and diagnostics
  • 24/7 uptime monitoring

AgentClaw is not responsible for the OpenClaw software itself, which is an open-source project.

3. Account Registration

To use AgentClaw, you must create an account with accurate and complete information. You are responsible for maintaining the security of your account credentials.

Each user may maintain only one account. Organizations may create separate accounts for each authorized user.

4. Payment and Billing

AgentClaw offers the following pricing:

  • Monthly Plan: $9.99 per instance per month
  • Annual Plan: $99.99 per instance per year

All payments are processed through Stripe. We do not store your payment information. Subscriptions automatically renew unless cancelled. If a payment fails, your service may be suspended after a grace period.

5. Subscription and Cancellation

You may cancel your subscription at any time through the Stripe Customer Portal. Upon cancellation, your service will continue until the end of your current billing period plus a 3-day grace period, after which your instances will be automatically stopped.

All sales are final. Subscriptions are non-refundable. No refunds will be provided for partial months, partial years, or any cancellation reason. By subscribing, you acknowledge and agree to this no-refund policy. These Terms prevail over any conflicting marketing or promotional language.

You remain responsible for all charges incurred during your subscription period, even if you do not use the service.

6. User Responsibilities

You are responsible for:

  • All API keys and configuration you provide to your instances
  • Compliance with third-party AI provider terms (OpenAI, Anthropic, etc.)
  • The behavior and content generated by your AI agents
  • Costs incurred from AI model usage (separate from AgentClaw fees)

7. Acceptable Use Policy

You may not use AgentClaw to:

  • Generate, store, or distribute illegal content
  • Send spam or engage in harassment
  • Violate intellectual property rights
  • Attempt to gain unauthorized access to our systems
  • Excessively consume resources beyond your allocated limits

We reserve the right to suspend or terminate instances that violate this policy.

8. Privacy and Data

Your use of AgentClaw is subject to our Privacy Policy. We encrypt your environment variables (including API keys) at rest.

9. Intellectual Property

AgentClaw owns all rights to the platform, website, and documentation. You retain ownership of your configuration data and any content your agents create.

OpenClaw is an independent open-source project governed by its own license.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. While we strive for 99.9% uptime, we do not guarantee uninterrupted service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTCLAW'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE LESSER OF (A) THE AMOUNT YOU PAID TO AGENTCLAW IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

IN NO EVENT SHALL AGENTCLAW BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WE ARE NOT LIABLE FOR ANY FAILURE OR DISRUPTION OF SERVICE CAUSED BY THIRD-PARTY SERVICES, INCLUDING BUT NOT LIMITED TO AI PROVIDERS (OPENAI, ANTHROPIC), MESSAGING PLATFORMS (TELEGRAM, DISCORD), PAYMENT PROCESSORS (STRIPE), OR VPS PROVIDERS.

AGENTCLAW IS NOT LIABLE FOR ANY DATA LOSS, BACKUP FAILURES, OR LOSS OF CONFIGURATION. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS OF CRITICAL DATA.

12. Indemnification

You agree to indemnify, defend, and hold harmless AgentClaw, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms of Service
  • Your violation of any rights of another person or entity
  • Content generated by your AI agents
  • Any breach of your representations and warranties
  • Your violation of any applicable laws or regulations
  • Third-party claims related to your AI model usage or API keys

This indemnification obligation will survive termination of these Terms and your use of the Service.

13. Termination

We reserve the right to suspend or terminate your account immediately, with or without notice, for any violation of these Terms, including but not limited to:

  • Violation of Acceptable Use Policy
  • Non-payment or chargebacks
  • Fraudulent activity
  • Violation of applicable laws
  • Any activity that endangers our systems or other users

You may terminate your account at any time through the Stripe Customer Portal. Upon termination by either party:

  • Your access to the Service ends immediately (or at the end of your billing period if you cancel)
  • You remain responsible for all charges incurred prior to termination
  • Your data will be preserved for 30 days before permanent deletion
  • No refunds will be provided for any unused portion of your subscription

Sections that by their nature should survive termination will survive, including but not limited to: Payment obligations, Indemnification, Limitation of Liability, Disclaimer of Warranties, and Dispute Resolution.

14. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal Resolution

Before filing a claim, you agree to contact us at support@agentclaw.app to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

Binding Arbitration

If we cannot resolve the dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration will be conducted in the English language.

The arbitrator's decision will be final and binding. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of competent jurisdiction.

Class Action Waiver

YOU AND AGENTCLAW AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Unless both you and AgentClaw agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

Exceptions

Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Service or intellectual property infringement without first engaging in arbitration.

15. Third-Party Services

The Service integrates with various third-party services, including but not limited to:

  • AI Providers: OpenAI, Anthropic, OpenRouter
  • Messaging Platforms: Telegram, Discord, WhatsApp
  • Payment Processing: Stripe
  • Infrastructure: VPS providers, cloud storage

Your use of third-party services is governed by their respective terms of service and privacy policies. AgentClaw is not responsible for and does not endorse, warrant, or assume any liability for third-party services.

You are solely responsible for:

  • Compliance with third-party service terms
  • Costs incurred with third-party services
  • Security of API keys and credentials
  • Data shared with third-party services

We may suspend or terminate your Service if we reasonably believe you are violating third-party terms in a way that creates liability for AgentClaw.

16. Export Compliance

You agree to comply with all applicable export and import control laws and regulations, including those of the United States. You represent that you are not:

  • Located in a country subject to U.S. government embargo
  • Listed on any U.S. government list of prohibited or restricted parties

You will not use the Service for any purposes prohibited by applicable law, including the development, design, manufacture, or production of nuclear, chemical, or biological weapons.

17. Force Majeure

AgentClaw shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to:

  • Acts of God, natural disasters, or severe weather
  • War, terrorism, riots, or civil unrest
  • Government actions, laws, or regulations
  • Internet or telecommunications failures
  • Third-party service outages (VPS providers, payment processors)
  • Cyber attacks, DDoS attacks, or security breaches affecting infrastructure providers
  • Pandemics or public health emergencies

In such events, performance will be excused for the duration of the force majeure event. No refunds or credits will be provided for service interruptions due to force majeure.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

The failure of either party to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AgentClaw regarding the Service and supersede all prior agreements, representations, and understandings, whether written or oral.

20. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. AgentClaw may assign these Terms or any of its rights or obligations hereunder to any affiliate or in connection with a merger, acquisition, or sale of assets, without your consent.

21. Statute of Limitations

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

22. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email. Continued use of the Service after changes implies acceptance.

23. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in Delaware.
